Terms of Service

These Terms of Service form an agreement between the person or organisation using CallVA (“Customer” or “you”) and Juko Trade OÜ, registry code 11716813, VAT number EE101369226, with a registered address at Vihuri tn 4-29, 10311 Tallinn, Estonia (“CallVA”, “we”, “us” or “our”).

By creating an account, accepting an order or using the service, you agree to these terms. If you use CallVA for an organisation, you confirm that you are authorised to bind it. Individually negotiated terms or an order form take precedence where they conflict with these terms.

CallVA is an operations platform for AI voice agents and call operations. It can manage projects, calls, queues, schedules, account-specific data models, agents, prompts, recordings, transcripts, outcomes, analytics, billing and automations. Calls may run through CallVA-provided infrastructure or a provider selected and connected by the Customer.

Features may be introduced, changed or retired as the service develops. We will avoid materially reducing a paid service during its agreed term without reasonable notice, except where a change is necessary for security, law or a third-party dependency.

You must provide accurate account information, be legally capable of entering this agreement and keep credentials, passkeys, API keys and connected accounts secure. You are responsible for activity performed through your account and for ensuring that users and autonomous agents receive only the access they need.

Notify us promptly if you believe an account or credential has been compromised. We may restrict access while investigating a security issue or unauthorised use.

You retain ownership of data, prompts, recordings, transcripts, configurations and other content you submit to CallVA (“Customer Data”). You grant us the limited rights needed to host, process, transmit, back up and display Customer Data to provide and secure the service.

You confirm that you have the rights, notices, consents and lawful basis needed for Customer Data and for every instruction you give CallVA. You are responsible for the accuracy of contact lists, call instructions, agent behaviour, extracted results and integrations used in your operation.

You are responsible for complying with laws and industry rules that apply to calls, automated outreach, marketing, caller identification, recording, transcription, data protection, do-not-call lists and required disclosures in every relevant jurisdiction.

You must not use CallVA for unlawful surveillance, fraud, harassment, deception, unauthorised impersonation, emergency-service substitution, abusive high-volume calling or contact with people where the required permission is absent. CallVA is not a legal review service and does not approve a campaign merely because the platform can technically run it.

External voice, AI, telephony, storage and business-system providers are separate services. Their terms, prices, availability and data practices apply in addition to these terms. You authorise CallVA to exchange the data necessary to operate integrations you enable.

We are not responsible for an external provider's acts or outages, but we will use reasonable efforts to help identify whether a problem originates in CallVA or a connected service.

Pricing may include free access, subscriptions, usage-based charges, implementation fees or a custom agreement. The price and limits shown in the service, on an order form or in an accepted quote apply to your account. Unless stated otherwise, charges are in euros and exclude applicable taxes.

CallVA-provided voice infrastructure may require a funded wallet and is charged using the rate associated with your account. Third-party providers connected by you may bill you separately. You authorise our payment provider to process approved charges. Except where law or an agreement requires otherwise, amounts already consumed or paid for completed implementation work are non-refundable.

You may not interfere with the service, bypass access controls or usage limits, probe another customer's data, upload malware, reverse engineer protected parts of the service except where law permits it, resell access without agreement, or use CallVA in a way that creates material risk to people, infrastructure or our providers.

We may suspend the affected account, project, integration or workflow where reasonably necessary to prevent harm, unlawful activity, security compromise, unpaid usage or disruption. Where practical, we will explain the reason and provide an opportunity to correct the issue.

Each party will protect the other party's non-public business and technical information using reasonable care and use it only for the relationship covered by these terms. Disclosure is permitted to personnel and service providers who need the information and are subject to confidentiality obligations, or where law requires disclosure.

Our processing of personal data is described in the Privacy Policy. Additional data-processing terms may be agreed where a Customer's use requires them.

CallVA and its licensors retain all rights in the platform, website, software, designs, documentation, trademarks and technology. These terms give you a limited, non-exclusive, non-transferable right to use the service during the agreement and do not transfer ownership of CallVA intellectual property.

If you provide feedback, you allow us to use it without restriction or payment, provided that we do not identify you publicly without permission.

We aim to operate a reliable service but do not promise uninterrupted or error-free availability unless a separate service-level agreement says otherwise. Preview and early-access features may change and may have additional limitations.

To the extent permitted by law, the service is provided “as is” and “as available”, without implied warranties of merchantability, fitness for a particular purpose or non-infringement. You are responsible for reviewing agent outputs and determining whether CallVA fits your operational, legal and safety requirements.

To the extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or for lost profit, revenue, goodwill or data. CallVA's aggregate liability arising from the service will not exceed the fees paid by the Customer to CallVA during the six months before the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited, or to fraud, wilful misconduct, breach of confidentiality or a party's infringement of the other's intellectual property rights.

You may stop using CallVA at any time and may request account closure, subject to outstanding charges and agreed commitments. We may terminate or suspend access for a material breach that is not corrected within a reasonable period, or immediately where continued access would create serious legal, security or operational risk.

On termination, rights to use the service end. Provisions concerning payment, confidentiality, intellectual property, liability, governing law and obligations intended to survive will remain in effect.

These terms are governed by Estonian law, without regard to conflict-of-law rules. The parties will first try to resolve a dispute through good-faith discussion. Unless mandatory law requires otherwise, disputes are subject to the courts of Estonia.

We may update these terms to reflect changes in the service, law or business model. We will publish the updated terms and revise the date above. For material changes affecting registered users, we will provide reasonable notice through the service or by email.
